ARTICLE 1 GENERAL PROVISIONS

 

  1. 1. NoMa Coaching & Advies is a company established under Dutch law with the purpose of systemic and transformative coaching & trainings, facilitating family and business constellations and strategic consulting services.NoMa Coaching & Advies is legally registered in Rotterdam and is listed in the trade register under number 93183968 and VAT number 639491376B02

   

   The agreement is concluded with one of the following entities:

   a. All activities, including strategy consulting, coaching, family and organizational constellations, retreats, and workshops, are offered by NoMa Coaching & Advies. When purchasing these services, the agreement is concluded with NoMa Coaching & Advies.

 

   These general terms and conditions apply to NoMa Coaching & Advies unless explicitly stated otherwise.

 

   Definitions

   a. Family constellations, also referred to as systemic work or systemic constellations, is an approach that focuses on exploring and understanding the underlying dynamics and patterns within family systems.

   b. Organizational constellations, also referred to as systemic work or systemic constellations, is an approach that focuses on exploring and understanding the underlying dynamics and patterns within a team or organization.

   c. Online platform refers to a digital environment where customers/users can participate in an online program.

   d. Online program, within the online platform, also referred to as systemic work or systemic constellations, is an approach that focuses on exploring and understanding the underlying dynamics and patterns within family systems. Various personalized online programs are offered.

   e. Customer refers to natural persons who wish to use the services of NoMa Coaching & Advies or purchase products. They may also be referred to as the client.

   f. Business customers are individuals or entities acting in the exercise of a profession or business. For business customers, agreements must be recorded in writing and individually agreed upon with NoMa Coaching & Advies.

   g. Content refers to each workshop, constellation, etc., which has its own content with specific topics.

   h. Workshops and training refer to interactive meetings where participants are actively involved in learning and practicing specific skills, solving problems, or exploring new ideas.

   i. Coaching refers to a form of coaching focused on exploring and understanding dynamics and patterns and facilitating personal growth.

   j. Lectures refer to educational presentations aimed at sharing knowledge, insights, and concepts related to systemic work, neuroscience, and NLP.

   k. Additional terms are supplementary terms intended to further clarify or regulate specific aspects, conditions, or requirements of an agreement.

 

2. These general terms and conditions are drafted in both Dutch and English, with the Dutch text always prevailing and binding.

3. The services and products provided by NoMa Coaching & Advies are not a substitute for medical or therapeutic assistance. It is therefore advised to always seek medical help when necessary.

 

ARTICLE 2 APPLICABILITY

 

1. These general terms and conditions apply to every assignment, quotation, advertisement, sale of goods, offer, and other actions on behalf of NoMa Coaching & Advies, including any subsequent orders, whether in an additional or modified form.

2. The applicability of any general or other terms of a client is in principle rejected.

3. All assignments are deemed to be exclusively given to and accepted by NoMa Coaching & Advies, even if it was expressly or tacitly intended that an assignment would be performed by a specific person. The effect of Article 7:404 paragraphs 1 and 2 of the Dutch Civil Code is fully excluded.

4. NoMa Coaching & Advies is authorized to engage third parties in connection with the execution of the agreement with the customer. NoMa Coaching & Advies is also authorized to accept any liability limitations imposed by third parties on behalf of the client of NoMa Coaching & Advies. In principle, any liability of NoMa Coaching & Advies for possible shortcomings and/or errors of third parties is excluded.

5. If a provision is unclear, NoMa Coaching & Advies will attempt to interpret it as much as possible in light of these general terms and conditions.

6. Any invalidity of one or more of these provisions does not affect the remaining general terms and conditions.

 

ARTICLE 3 OFFER

 

1. All offers and/or quotations communicated orally, in writing, by telephone, or by electronic means are in principle valid for 14 days.

2. Prices in offers, quotations, on the website, and agreements are displayed including VAT unless otherwise stated.

3. The services and products offered on the website are displayed with an individual description and corresponding price. If an offer made by NoMa Coaching & Advies is unilaterally altered, the offer is in principle no longer valid.

4. Offers and/or quotations do not apply to future situations.

5. A composite price quote does not obligate NoMa Coaching & Advies to perform part of the assignment at a corresponding portion of the quoted price.

 

ARTICLE 4 AGREEMENT, TERM, EXECUTION, AND WITHDRAWAL

 

1. The agreement is established through an offer made by NoMa Coaching & Advies and acceptance of that offer by the customer.

2. If the customer wishes to amend the agreement, this is only possible in consultation with NoMa Coaching & Advies, and any changes must always be recorded in writing.

3. Non-physical services, such as constellations and services provided on the online platform, cannot be returned.

4. The right of withdrawal is excluded with regard to the online platform due to the nature of the offered non-physical services.

5. NoMa Coaching & Advies may at any time decide to increase the prices of its services. This increase may also be applied to existing agreements. The customer is entitled to terminate the agreement within three months of the price increase.

 

 

PART A: EVENTS & PROGRAMS

 

  1. After the agreement has been concluded and the payment obligation has been fulfilled, NoMa Coaching & Advies will finalize the registration for the event or program at the chosen time slot.

  2. Regarding the cancellation or rescheduling of an event or program, the following rules apply:
    a. Up to 4 weeks before the scheduled date, cancellation is free of charge.
    b. Up to 5 working days before the scheduled date, 50% of the participation fee will be refunded.
    c. Cancellations within 5 working days before the event will be charged 100% of the fee, even if the client does not attend without prior notice.

  3. Canceled spots will be made available on the website again. NoMa Coaching & Advies does not use a waiting list to fill last-minute spots.

  4. Registration Fee: The registration fee amounts to approximately 15% of the total course price and must be paid within 14 days of receiving the invoice. The exact registration fee and the total course cost are specified in the provided information and the invoice you receive.  

  5. Final Payment of Course Fees: The full invoice amount must be paid at least 3 weeks before the start of the course, unless otherwise agreed.  

  6. Attending Individual Modules or Days (applicable to programs only): A course is a complete program; it is not possible to attend individual modules or single days separately.  

  7. Making Up Missed Course Days (applicable to programs only): If you are unable to attend certain course days due to unforeseen circumstances, you may make up these specific missed days within one year in a subsequent course, provided there is availability. There are no tuition fees for this; however, location and lunch costs must still be paid. The maximum number of days that can be made up is two days for courses and training programs.

  8. Cancellation of Course Days or Modules: If one or more course modules are canceled due to the trainer’s illness or other unforeseen circumstances, these will be rescheduled. Alternatively, you may also attend the missed module in another course at no additional cost (subject to availability).

  9. Sharing Contact Details: To facilitate the formation of study groups and potential carpooling, limited participant contact details (name, city of residence, phone number, email address) will be shared with the course group at the start of the course. Please refer to our privacy policy for more details on personal data protection.

PART B: COACHING 

1. Before the agreement is formed, NoMa Coaching & Advies will schedule a non-binding intake interview. During this process, the client will receive an email with information about the working method, number of sessions, and other relevant details. 

2. By accepting our coaching offer, an agreement is established. The initial offer is based on six executive coaching sessions that will be invoiced in full prior to the start of the program. 

3. Since both parties enter into a commitment for a certain period, it is generally not possible to terminate the agreement prematurely. If the client is dissatisfied with the coaching, we are happy to discuss the options for properly concluding the coaching process.  

 

If you wish to reschedule a coaching session, the following rules apply: 

   a. Up to 2 working days before the session, cancellation is free of charge, and a new appointment can be scheduled.  

   b. If the client cancels or reschedules within 2 days before the session, the full session fee will be charged.  

 

4. If the client fails to attend the scheduled appointment, NoMa Coaching & Advies will charge the full session fee.  

 

ARTICLE 5: CLIENT’S OBLIGATIONS

 

1. The client is required to provide NoMa Coaching & Advies with accurate and complete information. 

2. The client must provide NoMa Coaching & Advies with all necessary information in a timely manner for the execution of the service.  

3. If the client fails to provide the necessary data on time or provides incomplete information, NoMa Coaching & Advies has the right to suspend the execution of the agreement and/or charge any additional costs resulting from the delay.  

4. If the client fails to fulfill their obligations properly, and this results in damage to NoMa Coaching & Advies, the client is liable for this damage.  

5. If, for any reason, the execution of the agreement becomes impossible or temporarily unfeasible, both parties must engage in good-faith discussions to find a suitable solution. 

 

NoMa Coaching & Advies values confidentiality and wants clients to fully immerse themselves in the process during constellations, workshops, and training sessions. Therefore, strict confidentiality applies to everything discussed during these sessions. 

 

ARTICLE 6: PAYMENT 

 

1. Payment must generally be made immediately via the designated payment portal or through an issued invoice.  

2. Payments must be made without any deductions or offsets.  

3. Once payment is received, access to the desired content will be provided as soon as possible.  

4. Until the payment is completed, the client will not have access to the respective content.  

5. If a client wishes to arrange an alternative payment method, this must always be agreed upon in writing.  

6. In certain cases, clients may opt for installment payments—please refer to our additional terms and conditions for details.  

7. If payment is not made or is delayed, NoMa Coaching & Advies reserves the right to charge the client for all costs incurred in collecting the outstanding amount.  

 

ARTICLE 7 FORCE MAJEURE

 

1. Indien fulfillment becomes impossible due to force majeure and this continues for a period of 30 days, both parties are entitled to terminate the agreement. Any services already provided by NoMa Coaching & Advies will be charged to the customer. 

 

2. If the service provision is temporarily suspended, the customer and any parties affected will be informed, and a solution will be found between the parties.  

 

3. In addition to article 7, NoMa Coaching & Advies may terminate the agreement with the customer immediately, in whole or in part, without notice of default and without judicial intervention. The circumstances under which NoMa Coaching & Advies may exercise this right include:  

 

3.1 If the customer has been granted (provisional) suspension of payment.  

3.2 If it is suspected that the customer will not meet their payment obligations.  

3.3 If bankruptcy has been requested for or by the customer (WSNP).  

3.4 If the customer treats persons working for NoMa Coaching & Advies in an improper manner, such as through intimidation, discrimination, etc.  

3.5 If the customer infringes on the rights of a third party.  

 

4. If the agreement is terminated by NoMa Coaching & Advies, any services already performed will be charged to the customer. The services already provided and the associated payment obligation will not be subject to reversal.  

 

ARTICLE 8 LIABILITY 

 

1. The agreement between NoMa Coaching & Advies and the customer falls under the category of best-efforts agreements. Therefore, NoMa Coaching & Advies can never be held liable for unachieved results.  

 

2. NoMa Coaching & Advies does not provide (direct or indirect) medical advice. The services offered by NoMa Coaching & Advies are not intended as a substitute for professional medical advice and should not be used as such by the customer.  

 

3. Any indirect liability concerning the offered services and products is excluded, including consequential damages, missed savings, lost profits, reduced goodwill, damage due to business stagnation, materials, and third-party software. Liability related to the mutilation, destruction, or loss of documents is also excluded.  

 

4. If performance by NoMa Coaching & Advies becomes permanently impossible, liability for an attributable failure only arises if the customer formally notifies NoMa Coaching & Advies in writing of the default, setting a reasonable period for remedying the failure. The notice of default must contain a description of the failure that is as complete and detailed as possible, allowing NoMa Coaching & Advies to respond appropriately.  

 

5. The customer indemnifies NoMa Coaching & Advies against all claims arising from services provided to NoMa Coaching & Advies by third parties.  

 

6. NoMa Coaching & Advies cannot be held responsible for how the customer absorbs and interprets the provided information.  

 

ARTICLE 9 CONFIDENTIALITY AND PRIVACY 

 

1. Customers and other involved parties are obligated to maintain confidentiality towards third parties. This confidentiality applies to all confidential information provided to them by the client.  

 

2. Individuals working for NoMa Coaching & Advies are obliged to maintain confidentiality regarding confidential information they have obtained in the course of their agreement or from other sources.  

 

3. Information is considered confidential if its confidentiality is indicated or if it follows from the nature of the information.  

 

  1. NoMa Coaching & Advies strongly advises against sharing sensitive information, such as medical status, during workshops, constellations, coaching, etc.

 

 

ARTICLE 10 INTELLECTUAL PROPERTY RIGHTS  

 

1. All intellectual property rights arising within the scope of the services provided belong to NoMa Coaching & Advies. This includes, but is not limited to:  

a. Documents that in any way support the objectives of NoMa Coaching & Advies in any form;  

b. Specially created content;  

c. Coaching materials, constellation materials, books;  

d. Digital content from the online platform;  

e. Quotations;  

f. Information from our website.  

 

2. The texts, images, creative elements, and company name are, in principle, the property of NoMa Coaching & Advies, except for materials provided by third parties that are subject to valid intellectual property rights.  

 

ARTICLE 11 PRIVACY  

 

1. NoMa Coaching & Advies places great importance on your privacy. In the privacy statement, you can see which data NoMa Coaching & Advies processes about you and how NoMa Coaching & Advies handles it.  

 

ARTICLE 12 APPLICABLE LAW AND COMPLAINT PROCEDURE  

 

1. Dutch law applies to all services, products, and (legal) actions.  

 

2. The court in the location where NoMa Coaching & Advies is established has exclusive jurisdiction to hear disputes, unless otherwise prescribed by law.  

 

3. Parties will only seek legal intervention after they have made every effort to resolve a dispute through mutual consultation.  

 

4. Are you dissatisfied with the services of NoMa Coaching & Advies? If you are unable to resolve the issue through verbal consultation with the relevant trainer(s) or coach, you may submit your complaint via email. Your complaint will be handled with complete confidentiality.  

 

4.1. Complaint handling: Within 2 working days of receiving your email, you will receive a confirmation of receipt. We will then process your complaint as soon as possible, with a maximum response time of 3 weeks.  

 

4.2. Third-party involvement: We will do everything possible to find a solution that satisfies all parties. If, despite all efforts, this is not successful, we will engage a third, independent, and officially appointed party to issue a binding judgment.  

 

4.3. Mediation costs: If a third party must be involved, the mediation costs will be borne by the party that is ruled against in the final decision.  

 

4.4. Processing time: If handling the complaint takes longer than expected, we will inform you within the initially stated timeframe and provide a new expected resolution period. 

 

4.5. Retention period: A complaint file will be kept for two years after the complaint has been resolved. 

 

ARTICLE 13 OTHER PROVISIONS 

 

1. Communications are subject to printing and typographical errors. In case of doubt, the customer should conduct further inquiries. This can be done simply by contacting NoMa Coaching & Advies.  

 

2. The management of NoMa Coaching & Advies reserves the right to modify or supplement the general terms and conditions at any time, including for existing agreements. Customers will be informed of any relevant changes to the general terms and conditions. 

 

3. For certain services, we apply additional rules. Before entering into an agreement, NoMa Coaching & Advies will provide these rules in writing.
